Axon acquires a leading SAP HR Consultancy in the US                        01/11/2006

Axon Group plc (“Axon”), the leading Business Transformation consultancy, announces that it has acquired the business of Premier H R Solutions Inc. (“PremierHR”), a leading provider of SAP HR consulting services to the US Market. The initial consideration is US$11.5m payable in three instalments over twelve months of which US$3.59m will be satisfied by the issue of 365,524 new Axon shares and the remainder in cash. In addition a deferred cash consideration payment of $3m will be paid in 2008 subject to business performance.
